Byta / PRS Riff Mix Participant Terms

1. Elbow Grind audio files and copyright remain the sole property of TRIONIQ. This includes the works, composition, lyrics, performance and the recording.
2. Any copies made of Elbow Grind, including the same audio converted to different file formats, remain the sole property of TRIONIQ
3. Copyright of any manipulated, reworked, remixed and/or edited version of Elbow Grind is retained by TRIONIQ.
4. Elbow Grind will only be used as part of the Byta & PRS Guitars Riff Mix Challenge. This includes downloading the stems, manipulating, and/or reworking, and/or remixing the audio, and submitting edited work on Byta. Only private sharing of Elbow Grind or a reworked/remixed version is permitted.
   1. Private sharing is defined as: uploading, sharing and submitting via Byta as part of the Riff Mix Challenge.

5. By downloading the audio files and taking part in the Riff Mix Challenge, you forego the rights to publicly release any original or reworked versions of the audio files.
   1. This includes but is not limited to: uploading the Elbow Grinds anywhere that enable public streaming, downloading or performance, such as digital streaming platforms, radio stations, TV or any other form of broadcasting, live performance or online media that exists now or will in the future.
   2. Public sharing of Elbow Grind, original or edited, is in breach of copyright and is therefore liable to legal action by TRIONIQ and/or associated parties.
6. Should TRIONIQ wish to use any reworked, remixed or edited version of Elbow Grind, Byta will put the participant in touch with TRIONIQ to liaise directly.
   1. Refer to point 9 for permitted use of the winning remix by TRIONIQ
7. Reworked versions will not include any additions of derogatory, discriminatory or abusive language or connotations.
8. Public releases and public performances of any versions of Elbow Grind are not permitted. Byta and PRS Guitars are not responsible for any royalties or mechanicals in relation to Elbow Grind. This includes associated remixes from participants in the challenge.
   1. The original Elbow Grind and stem files must be hosted privately on Byta’s platform and will not be broadcasted publicly.
   2. Only private sharing and editing is permitted.
9. TRIONIQ has the right to use the winning remix of Elbow Grind as they wish for public release once the winner is revealed. If TRIONIQ chooses to release the winning remix, or any other remix, the remixing artist or individual (participant) will be credited at all times.
   1. This includes but is not limited to, listing the remix artist as a collaborating artist on streaming platforms so that it also appears on their public profile.
10. Byta, PRS Guitars and associated parties have the sole right to feature the winning remixed Elbow Grind, chosen by the judges, on their social media, websites or associated marketing channels.

Commitment:

• By downloading the audio files / stems for Elbow Grind and ticking the box in order to do so, you agree to all of the terms and conditions laid out in this document; above and below, in addition to the terms and conditions and privacy policy agreed to when signing up to Byta (byta.com).
• You understand that the incentives of the Riff Mix Challenge is for the chosen winner to receive a PRS SE Silver Sky guitar and a 1-year-free Freelancer plan on Byta. No cash alternative will be offered.
• You understand that during the judging process, all audio is listened to in a private manner by the judges in order to shortlist Elbow Grinds and then choose a winner. The judges (in circumstances where the judge is not also the TRIONIQ) are not permitted to share the audio files publicly, be that the original or any reworked version. The judges decision is final and no correspondence will be entered into.
